1 Acceptance of Terms

1.1 Acceptance of Terms

Welcome to Nate Park (Pty) Ltd (“Nate Park”, “we”, “our”, or “us”).

These Terms govern your access to and use of our website, products, services, software, hosting platforms, applications and related services.

By accessing our website, requesting a quotation, purchasing a product or service, creating an account, submitting a Service Order, making payment, or otherwise using any of our services, you agree to be legally bound by these Terms.

If you do not agree, you must discontinue use of our website and services.

These Terms should be read together with our Privacy Policy,  Copyright Policy and Service Level Agreement (where applicable).

Together these documents constitute the entire agreement between you and Nate Park.

1.3 Scope

These Terms apply to all products and services supplied by Nate Park, including website design, website development,  eCommerce, directory websites, hosting,  LiteSpeed hosting, NVMe hosting, cPanel hosting, domain registration, domain transfers, DNS management, SSL certificates, email hosting, maintenance, SEO, branding, consulting, technical support and related services.

1.4 Eligibility

The Customer warrants that they have legal capacity to enter into this Agreement, authority to bind any organisation they represent, and that all supplied information is accurate.

1.5 Electronic Acceptance

Electronic acceptance under the Electronic Communications and Transactions Act, 2002 (ECTA) shall have the same legal force as a handwritten signature.

1.6 Changes to these Terms

Nate Park may amend these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.

1.7 Governing Law

These Terms are governed by the laws of the Republic of South Africa.

2. Definitions

Definitions include, among others:

  • Agreement – these Terms together with all incorporated policies, quotations, proposals, Statements of Work and Service Orders.
  • Business Day – any day excluding Saturdays, Sundays and South African public holidays.
  • Charges – all fees payable for Products and Services.
  • Client / Customer – the individual or legal entity using Nate Park’s Products or Services.
  • Content – all text, graphics, software, databases, images, logos and related material.
  • Customer Data – all information belonging to or supplied by the Customer.
  • Deliverables – all websites, software, designs and work produced by Nate Park.
  • Domain Name – an Internet domain registered through an accredited registrar.
  • Hosting Services – all hosting-related services supplied by Nate Park.
  • Intellectual Property – all copyrights, trademarks, patents, software, source code, designs and related rights.
  • Personal Information – as defined in POPIA.
  • Products – all goods supplied by Nate Park.
  • Services – all professional services supplied by Nate Park.
  • Service Order – any accepted quotation, proposal, online order, invoice or written authorisation to commence work.
  • Website – www.natepark.co.za and associated customer portals.

Interpretation rules include plural/singular, gender neutrality and references to amended legislation.

3. Service Orders and Formation of Contract

A binding agreement is formed when a Customer accepts a quotation, proposal, invoice or Service Order, requests work to commence, makes payment or otherwise accepts electronically.

Quotations remain valid for 30 calendar days unless otherwise stated.
Only work specifically included within the agreed scope is included in the quoted price.
Changes to scope may result in revised pricing and timelines.
Estimated delivery dates are estimates only and may change due to Customer delays or third-party dependencies.
Additional work outside the agreed scope may be quoted separately.
Third-party services remain subject to the applicable third-party terms.

The entire agreement consists of the signed agreement (if any), Statement of Work, quotation, applicable service terms and these Terms of Service.

4. Customer Accounts, Registration and Responsibilities

Customers must provide accurate and up-to-date information.
Persons acting on behalf of organisations warrant that they have authority to bind that organisation.
Customers are responsible for maintaining the confidentiality of account credentials.
Customers must cooperate throughout the project by supplying content, approvals and access credentials within reasonable timeframes.
Customers warrant that all supplied content is lawfully owned or licensed.
Customer delays may result in revised project timelines, suspension or additional fees.
Customers agree to comply with all applicable laws when using Nate Park’s Products and Services.

5. Fees, Invoicing and Payment Terms

All fees are payable in accordance with accepted quotations, invoices or Service Orders.
Unless otherwise stated, prices are exclusive of VAT and quoted in South African Rand.
Deposits may be required before work commences.
Recurring services are payable in advance.
Late payments may result in interest, suspension of services, withholding of Deliverables and debt recovery proceedings.
Ownership of Deliverables remains with Nate Park until all outstanding amounts have been paid in full.

6. Website Design and Development Services

The scope of each website project is defined in the accepted quotation or Statement of Work.
Projects commence once deposits, required information and approvals have been received.
Customers are responsible for supplying project content unless otherwise agreed.
Reasonable revisions are included; redesigns and scope changes may incur additional charges.
Websites are developed to current web standards and major modern browsers.
SEO outcomes cannot be guaranteed.
Third-party software remains subject to its own licensing terms.
Ownership of completed custom-developed Deliverables transfers only after full payment, excluding third-party licensed components.
Nate Park retains ownership of proprietary development methodologies and reusable code libraries.
Completed projects may be included in Nate Park’s portfolio unless otherwise agreed.
Projects inactive for more than 60 days may be treated as abandoned.
Unless otherwise agreed, a 30-day warranty applies to defects directly attributable to Nate Park’s original development.
